FLOWPOUCH TERMS OF SERVICE

These Terms of Service (“Terms”) provide the general terms and conditions that govern your access to, use of, and interactions with: (a) the website operated by D1 ECOM LLC and FlowPouch (“FlowPouch”, “our”, “we”, or “us”) located at FlowPouch (the “Website”), (b) any FlowPouch-controlled social media pages (including on Facebook, Instagram, and TikTok), and/or (c) any content, functionality, and services offered on or through the Website and such FlowPouch-controlled social media pages, as well as your purchases of any products or services provided by FlowPouch (collectively, the “Services”).
PLEASE READ THESE TERMS CAREFULLY. THESE TERMS CONTAIN A MANDATORY ARBITRATION AND CLASS ACTION/JURY TRIAL WAIVER PROVISION IN SECTION 16, WHICH REQUIRES THAT DISPUTES BE RESOLVED BY FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS, NOT ON A CLASS-WIDE OR CONSOLIDATED BASIS OR BY A JURY TRIAL.
BY CLICKING “I ACCEPT” OR ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, DO NOT USE OUR SERVICES.
We may make changes to these Terms from time to time. If we make changes, we will provide you with notice of such changes, such as by sending an email, providing a notice through our Services or updating the date at the top of these Terms. Unless we say otherwise in our notice, the amended Terms will be effective immediately, and your continued use of our Services after we provide such notice will confirm your acceptance of the changes. If you do not agree to the amended Terms, you must stop using our Services.

1. PRIVACY For information about how we collect, use, share or otherwise process information about you, please see our privacy policy.
2. ELIGIBILITY You must be at least 18 years of age to use our Services. If you are under 18 years of age (or the age of legal majority where you live), you may use our Services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms. If you use our Services on behalf of another person or entity, (a) all references to “you” throughout these Terms will include that person or entity, (b) you represent that you are authorized to accept these Terms on that person’s or entity’s behalf, and (c) in the event you or the person or entity violates these Terms, the person or entity agrees to be responsible to us.
3. USER ACCOUNTS AND ACCOUNT SECURITY You may need to register for an account to access some or all of our Services (e.g., FlowPouch Subscription Plans). If you register for an account, you must provide accurate account information and promptly update this information if it changes. You also must maintain the security of your account and promptly notify us if you discover or suspect that someone has accessed your account without your permission. If you permit others to use your account credentials, you are responsible for the activities of such users that occur in connection with your account.

4. PROHIBITED CONDUCT AND CONTENT You will not violate any applicable law, contract, intellectual property right or other third-party right or commit a tort, and you are solely responsible for your conduct while using our Services. You will not:
Engage in any harassing, threatening, intimidating, predatory or stalking conduct;
Use or attempt to use another user’s account without authorization;
Impersonate any person or entity;
Submit false or misleading information;
Upload or transmit viruses or any other type of malicious code;
Copy, reproduce, distribute, publicly perform or display our Services without permission;
Modify or make derivative works based upon our Services;
Use the Services in any manner that could interfere with or negatively affect other users or our operations;
Reverse engineer or bypass security features;
Use automated methods to access the Services without authorization;
Develop or use any applications that interact with the Services without prior consent;
Distribute spam or unsolicited messages;
Use the Services for any illegal or unauthorized purpose.
We reserve the right to investigate and terminate accounts for violating these rules.
5. OWNERSHIP; LIMITED LICENSE The Services and all content therein are owned by FlowPouch or its licensors. You are granted a limited, non-exclusive, revocable license to use the Services for your personal, non-commercial use. All rights not expressly granted are reserved by us.
6. TRADEMARKS FlowPouch and its associated logos and trade dress are trademarks of D1 ECOM LLC. Use of these marks without our written permission is strictly prohibited.
7. FEEDBACK By submitting feedback, you grant FlowPouch a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without acknowledgment or compensation.
8. THIRD-PARTY CONTENT We may link to or display content from third parties. We are not responsible for any third-party content and your interactions with it are solely between you and the third party.
9. SMS, MMS, AND OTHER TEXT MESSAGE TERMS AND CONDITIONS By signing up for SMS messages via Klaviyo, you agree to receive recurring automated promotional and transactional text messages. Message frequency may vary. Message and data rates may apply. Reply STOP to unsubscribe. Reply HELP for assistance or email flowpouch support.
10. ORDERING, DELIVERY, PAYMENTS, AND BILLING Your use of the Services may involve paid transactions, including recurring subscription billing. All prices are shown in USD. We reserve the right to modify pricing and product availability at any time.
Subscription Services: By signing up for FlowPouch Subscription Plans, you agree to recurring charges until canceled. Subscriptions renew automatically unless canceled prior to the renewal date. You may manage or cancel via your account login or by contacting flowpouch support.
Returns and Refunds: Our policies are governed by our Refund Policy available at: refund policy.
Shipping: We currently ship to the U.S., Canada, U.K., and select European countries. Risk of loss passes upon shipment.
11. INDEMNIFICATION You agree to indemnify and hold harmless FlowPouch and D1 ECOM LLC, and their officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses arising out of your use of the Services, violation of these Terms, or infringement of any rights.
12. DISCLAIMERS The Services and all products are provided “as is” without warranties of any kind. We disclaim all implied warranties including merchantability and fitness for a particular purpose. We do not guarantee results or uninterrupted access.
13. LIMITATION OF LIABILITY To the maximum extent permitted by law, FlowPouch shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the greater of $100 or the amount you paid to us in the past 12 months.
14. RELEASE You release FlowPouch from claims and damages arising from disputes with other users or third parties.
15. TRANSFER AND PROCESSING OF DATA You consent to the transfer and processing of your information in the United States and other countries.
16. DISPUTE RESOLUTION; ARBITRATION All disputes must first be submitted to flowpouch support. If unresolved, disputes will be subject to binding arbitration on an individual basis under the Federal Arbitration Act. You waive the right to participate in a class action or jury trial. Arbitration will be administered by JAMS and take place in Austin, Texas or virtually. You may opt out within 30 days by emailing flowpouch support.
17. GOVERNING LAW AND VENUE These Terms are governed by the laws of the State of Texas. Any disputes not resolved by arbitration will be litigated in state or federal courts located in Austin, Texas.
18. MODIFICATION AND TERMINATION OF SERVICES We reserve the right to change, suspend, or discontinue the Services at any time without liability. You may terminate your use at any time.
19. SEVERABILITY If any provision of these Terms is held invalid, the remaining provisions shall remain in full force.
20. ENTIRE AGREEMENT These Terms constitute the entire agreement between you and FlowPouch regarding your use of the Services and supersede any prior agreements.
